​Terms and Conditions

​

1. Introduction
   These terms and conditions (“Agreement”) govern the provision of incorporation of a Hong Kong limited company service, company secretary services, and registered office service (collectively, the “Services”) provided by AOGB CPA Limited (“Company”) to the customer (“Customer”).
    

2. Service Description
   The Services offered under this Agreement (“Basic Package”), optional for Customers, include: 
   (a) Incorporation of the Company as a limited company in Hong Kong
   。conducting search for company names’ availability;
   。completing all required procedures for company incorporation and business registration; and
   。appointment of directors and registration of shareholders under one of the following scenarios:
   - up to two same natural persons as directors and shareholders simultaneously; or
   - one natural person as director and another nature person as shareholder; or
   - one natural person as director and shareholder simultaneously and another natural person as director or shareholder
   (b) Provision of a registered office address in Hong Kong for one (1) year upon incorporation of the Company
   。serving as registered office address in Hong Kong; and
   。receipt of government posts and provision of notification of receipt of government posts
   (c) Provision of company secretarial services for one (1) year upon incorporation of the Company
   。Being appointed as company secretary;
   。two (2) times for change of particulars of director / company secretary or change of registered office address; and
   。maintaining statutory registers of the Company
   (d) Assistance and support on completing the required procedures for creating the Company’s Business Profile on RD ezLink via           the RD App
   (e) Assistance and support on completing the required procedures for opening and activating the Company’s RD Wallet account         via the RD App
    

3. Payment
   The Customer agrees to pay the Company for the Services provided under this Agreement. The fees payable for the Services are set out in the Company’s fee schedule, which may be updated from time to time. Payment for the service is non-refundable under any circumstances.
    

4. Term and TerminationThis Agreement shall be effective from the date of payment or the date of service provision. The agreement may be terminated by the sole discretion of the Company without notice to Customer. Service fee will not be refund for early termination.
    

5. Intellectual Property
   All intellectual property rights in any materials provided by the Company to the Customer in connection with the Services shall remain the property of the Company.
    

6. Confidentiality
   The Company agrees to keep confidential all information provided by the Customer in connection with the Services. The Customer agrees to keep confidential all information provided by the Company in connection with the Services.
    

7. Limitation of Liability
   The Company shall not be liable for any loss or damage suffered by the Customer as a result of the Customer’s use of the Services. The Customer agrees to indemnify and hold the Company harmless against any claims, losses, damages, or expenses arising out of the Customer’s use of the Services.
    

8. Governing Law and Jurisdiction
   This Agreement shall be governed by and construed in accordance with the laws of Hong Kong. The parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong in respect of any dispute arising out of or in connection with this Agreement.
    

9. Amendments
   The Company reserves the right to amend these terms and conditions at any time by giving the Customer written notice. Any changes made to these terms and conditions shall be effective immediately upon notice to the Customer.
    

10. Additional Services
    For any other additional service not covered in the Basic Package, please contact us for separate quotation.
